This Beat License Agreement (“Agreement”) governs the use of any instrumental (“Beat”) purchased or downloaded from Clef Chef Productions (“Licensor,” “we,” “us”). By purchasing or using a Beat, you (“Licensee”) agree to the terms below.

1. Ownership

All Beats are owned exclusively by Clef Chef Productions.

Purchasing a Beat grants you a license to use the Beat under the terms of the selected license type.
Ownership is never transferred.

2. License Types

Unless otherwise stated in writing, all Beats are sold under a Non-Exclusive License.

Non-Exclusive License (Standard)

You are granted a non-exclusive, non-transferable license to:

  • Record vocals and create a song using the Beat
  • Release the song commercially (streaming, downloads, video content)
  • Perform the song live
  • Monetize the song on platforms such as Spotify, Apple Music, YouTube, TikTok, etc.

Clef Chef Productions retains the right to license the same Beat to other users.

3. Usage Limits (Non-Exclusive License)

Unless otherwise specified at checkout:

  • Streaming & downloads: Unlimited
  • Music videos: Unlimited
  • Live performances: Unlimited
  • Radio play: Allowed
  • Synchronization (YouTube, social media, ads): Allowed

Uploading the Beat by itself (without vocals) is strictly prohibited.

4. Prohibited Uses

You may NOT:

  • Claim ownership of the Beat
  • Resell, sublicense, share, or redistribute the Beat as a standalone file
  • Use the Beat in Content ID systems (YouTube Content ID, Facebook Rights Manager, etc.)
  • Mint the Beat or song using the Beat as an NFT without written consent
  • Use the Beat in unlawful, hateful, or defamatory content

5. Credit Requirement

Where credits are shown (streaming platforms, YouTube descriptions, liner notes), you must credit:

“Produced by Clef Chef Productions”

6. Exclusive Licenses

Exclusive licenses are not included unless explicitly purchased and confirmed in writing.

If an Exclusive License is granted:

  • The Beat will be removed from sale
  • Terms will be outlined in a separate written agreement
  • Ownership still remains with Clef Chef Productions unless otherwise stated

7. Payment & Refund Policy

  • All Beat purchases are digital goods
  • All sales are final
  • No refunds or exchanges once files are delivered or downloaded

8. Copyright & Publishing

  • Clef Chef Productions retains 100% ownership of the Beat’s copyright
  • Publishing splits, if any, must be agreed to separately in writing
  • You are responsible for registering your song correctly with distributors and PROs

9. Termination

Failure to comply with this Agreement will result in immediate termination of your license, and your rights to use the Beat will be revoked.

10. Limitation of Liability

Clef Chef Productions is not responsible for:

  • Copyright disputes caused by misuse
  • Platform takedowns due to incorrect registration
  • Lost revenue or opportunities

11. Governing Law

This Agreement shall be governed by applicable laws in the jurisdiction of Clef Chef Productions.
